These Terms and Conditions govern access to the DARCHEX website and the general conditions under which DARCHEX may provide information, consultations, quotations and professional services.

By using this website, submitting an enquiry, requesting a quotation or engaging DARCHEX for services, you acknowledge that you have read and understood these Terms and Conditions.

1. About DARCHEX

DARCHEX SARLAU, referred to in these Terms as “DARCHEX”, “we”, “us”, or “our”, is an architecture, interior design, visualization, project supervision, and interior development company based in Morocco.

2. Scope of These Terms

These Terms apply to:

  • Access to and use of the DARCHEX website;
  • Enquiries submitted through the website, email, telephone, WhatsApp, or social media;
  • Consultations, appointments, and site visits;
  • Quotations and commercial proposals;
  • Architecture and interior design services;
  • Space planning and design development;
  • Three-dimensional modelling and visualization;
  • Technical drawings and project documentation;
  • Material and furniture selection;
  • Project supervision and coordination;
  • Interior-development and execution services;
  • Training programmes, workshops, and events;
  • Any other service expressly offered by DARCHEX.

Additional documents, including an approved quotation, contract, scope of work, project programme, invoice, variation order or signed acceptance form may govern certain services.

3. Contractual Documents and Order of Priority

The complete agreement between DARCHEX and the client may include:

  1. A signed project contract;
  2. An approved Odoo quotation or sales order;
  3. The detailed scope of work;
  4. Approved variations or additional work orders;
  5. Project-specific written instructions;
  6. These general Terms and Conditions.

Where there is a conflict between these documents, the signed project contract and approved quotation shall take priority over these website Terms.

No website page, social-media post, advertisement, preliminary message or verbal discussion shall replace a formal quotation or signed agreement.

4. Website Information

The information presented on this website is provided for general informational and promotional purposes.

DARCHEX aims to keep the website accurate and up to date. However:

  • Project images may be illustrative;
  • Renderings may represent proposed rather than completed work;
  • Prices may vary according to scope, location, and project requirements;
  • Materials and products may be modified or discontinued by manufacturers;
  • Website information does not constitute a binding quotation;
  • Technical and regulatory requirements must be verified for each project.

DARCHEX may modify, remove, or update website content without prior notice.

5. Enquiries and Quotations

Submitting an enquiry does not create a contractual relationship between the visitor and DARCHEX.

A project is considered accepted only when the applicable requirements stated in the quotation or contract have been completed, which may include:

  • Written approval of the quotation;
  • Electronic or handwritten signature;
  • Acceptance through the Odoo client portal;
  • Payment of the required advance;
  • Delivery of the required project information and documents.

Unless otherwise stated, a quotation is valid only for the validity period indicated on the quotation.

After the validity period expires, DARCHEX may revise the price, scope, programme or commercial conditions.

6. Scope of Services

DARCHEX will provide only the services expressly included in the approved quotation or signed contract.

Any service not clearly included is considered outside the agreed scope and may require:

  • A separate quotation;
  • A variation order;
  • Additional fees;
  • Additional execution time;
  • Written approval from the client.

Examples of additional services may include:

  • Additional design options;
  • Additional rooms or areas;
  • Major changes after approval;
  • Additional site visits;
  • Authority submissions;
  • Engineering calculations;
  • Quantity surveying;
  • Procurement;
  • Contractor management;
  • Custom fabrication;
  • Photography or video production;
  • Travel outside the agreed geographical area.

7. Client Responsibilities

The client agrees to:

  • Provide complete and accurate project information;
  • Confirm ownership or legal authority over the property;
  • Provide available plans, surveys, and technical documents;
  • Provide timely access to the property;
  • Clearly communicate the budget and requirements;
  • Review submissions within the agreed timeframe;
  • Provide approvals and decisions in writing;
  • Pay invoices according to the agreed schedule;
  • Inform DARCHEX of any legal, structural, or technical restrictions;
  • Coordinate access with owners, occupants, building management, and contractors;
  • Appoint a single authorised decision-maker where possible.

DARCHEX is not responsible for delays, errors or additional costs caused by incomplete, inaccurate or late information supplied by the client or third parties.

8. Measurements and Site Conditions

Design work may be based on:

  • Measurements taken by DARCHEX;
  • Existing drawings;
  • Surveys supplied by the client;
  • Contractor measurements;
  • Information supplied by consultants or other professionals.

Existing drawings and dimensions must be verified on site before construction, manufacturing, ordering or installation.

Contractors, manufacturers and installers remain responsible for checking final dimensions, levels, openings and site conditions relating to their work.

DARCHEX must be informed immediately if discrepancies are discovered.

9. Design Process and Approvals

The project may pass through several stages, including:

  • Brief and information collection;
  • Site assessment;
  • Concept design;
  • Space planning;
  • Mood boards;
  • Three-dimensional visualization;
  • Client approval;
  • Technical documentation;
  • Material selection;
  • Execution or supervision.

Written approval of a stage authorises DARCHEX to proceed to the following stage.

Once a plan, concept, three-dimensional design, material, or technical solution has been approved, any subsequent change may be treated as additional work.

The client is responsible for reviewing designs carefully before providing approval.

10. Revisions and Changes

The number of revisions included in the service is limited to the number stated in the quotation or contract.

A revision is an adjustment to an existing approved direction. A request that substantially changes the brief, style, layout, area, programme or approved concept may be considered a new design instruction rather than a revision.

Additional charges may apply where:

  • The included revisions have been exhausted;
  • The client changes an approved design;
  • New areas are added;
  • The original brief changes;
  • The client requests several alternative options;
  • Construction has started before final approval;
  • Previously rejected options are requested again;
  • Changes are required because of inaccurate client information.

DARCHEX will communicate the effect of significant changes on fees and timing before proceeding, where reasonably possible.

11. Fees and Payment

Fees are stated in the approved quotation or contract.

Unless expressly agreed otherwise, DARCHEX’s standard project payment schedule may be:

  • 60% upon project confirmation;
  • 30% following completion or approval of the concept and three-dimensional design stage;
  • 10% before delivery of the final technical documents.

Different payment terms may apply to interior-development work, supervision, procurement, training, or other services.

Payments must be made by the due dates shown on quotations and invoices.

The client is responsible for applicable bank charges, taxes, or transfer costs unless otherwise agreed.

Work may be suspended where an invoice remains unpaid after its due date. Such a suspension may affect the project programme and delivery date.

Final files, editable documents, high-resolution renders or other deliverables may be withheld until the corresponding invoices have been fully paid.

12. Taxes and Third-Party Costs

Unless otherwise stated, professional fees do not include third-party costs such as:

  • Authority and administrative fees;
  • Engineering fees;
  • Surveying;
  • Printing;
  • Samples;
  • Travel and accommodation;
  • Courier services;
  • Specialist consultants;
  • Contractor charges;
  • Product purchases;
  • Manufacturer samples;
  • Customs or delivery costs.

Applicable taxes will be handled according to the quotation, invoice, and governing legislation.

13. Project Programme and Delays

Any project programme or delivery date is based on the information available when it is issued.

The project programme may be extended by:

  • Late approvals;
  • Delayed payments;
  • Changes to the brief;
  • Additional revisions;
  • Incomplete information;
  • Delayed site access;
  • Supplier or material delays;
  • Contractor delays;
  • Authority requirements;
  • Unforeseen site conditions;
  • Force majeure events.

DARCHEX will make reasonable efforts to respect agreed deadlines but shall not be responsible for delays outside its reasonable control.

A delay caused by the client or a third party may result in rescheduling according to DARCHEX’s availability.

14. Communication and Written Instructions

To ensure proper project tracking, formal project communications should be conducted through:

  • The Odoo client portal;
  • DARCHEX’s official email addresses;
  • Approved project documents;
  • Signed variation or approval forms.

WhatsApp, telephone calls, meetings, and verbal discussions may be used for convenience. However, instructions affecting scope, price, design, execution, or timing must be confirmed in writing through Odoo or email.

Verbal instructions shall not be considered final project approval unless they are confirmed in writing.

15. Electronic Communication and Acceptance

The client agrees that quotations, contracts, invoices, approvals, documents and notices may be exchanged electronically.

Acceptance may be recorded through:

  • The Odoo portal;
  • Electronic signature;
  • Email confirmation;
  • Payment of the required advance;
  • Another electronic method accepted by DARCHEX.

Electronic exchanges and signatures are subject to the applicable legal framework. Morocco’s legislation recognises electronic exchanges and provides a legal framework for electronic signatures and documents.

16. Three-Dimensional Visualizations

Three-dimensional images and renderings are visual communication tools intended to illustrate the proposed design.

Although DARCHEX aims to represent the project accurately, differences may occur between visualizations and the completed work because of:

  • Screen and printing variations;
  • Lighting conditions;
  • Material production batches;
  • Product availability;
  • Construction tolerances;
  • Site conditions;
  • Manufacturer changes;
  • Contractor workmanship;
  • Client-approved substitutions.

Renderings should not be treated as manufacturing drawings or exact guarantees of colour, texture, dimensions or final appearance.

Technical drawings and physical samples should be used for execution and final material approval.

17. Materials, Products and Availability

Specified products, finishes, furniture, and materials are subject to availability.

Where an item becomes unavailable, discontinued, delayed, or unsuitable, DARCHEX may recommend an alternative.

No replacement affecting price or design will be formally adopted without the client’s approval, except where urgent measures are required to prevent damage or comply with a legal or safety requirement.

Samples are indicative. Natural materials such as wood, marble, stone, leather, and fabrics may vary in colour, veining, texture, and appearance.

The client is responsible for approving final physical samples where such samples are available.

18. Contractors, Suppliers and Third Parties

Unless expressly stated in writing, contractors, suppliers, craftsmen, engineers and consultants are independent third parties and are not employees of DARCHEX.

Where DARCHEX recommends or coordinates a third party, this does not automatically make DARCHEX responsible for that party’s:

  • Workmanship;
  • Safety procedures;
  • Employees;
  • Insurance;
  • Delays;
  • Financial obligations;
  • Product warranties;
  • Regulatory compliance;
  • Contractual breaches.

Each contractor or supplier remains responsible for their own work, employees, tools, materials, measurements, methods, safety and insurance.

Where DARCHEX itself contractually undertakes interior-development work, its specific responsibilities shall be defined in the corresponding approved quotation and contract.

19. Site Supervision

Site supervision does not mean continuous presence on site unless this has been expressly included.

Periodic supervision may include:

  • Reviewing general conformity with approved design documents;
  • Responding to design-related questions;
  • Recording visible deviations;
  • Reviewing samples;
  • Coordinating design information.

Site supervision does not replace:

  • Contractor quality control;
  • Structural engineering supervision;
  • Mandatory technical inspections;
  • Health-and-safety management;
  • Testing and commissioning;
  • Contractor responsibility for execution methods.

Contractors remain responsible for construction quality and compliance with approved technical documents.

20. Permits and Regulatory Approvals

The client is responsible for identifying and obtaining required permissions unless authority submissions are expressly included in DARCHEX’s scope.

Approval of a design by the client does not guarantee approval by:

  • Municipal authorities;
  • Building management;
  • Co-ownership associations;
  • Civil-protection authorities;
  • Utility providers;
  • Other regulatory bodies.

Where authority approval is included, DARCHEX will prepare the agreed documentation but cannot guarantee the authority’s decision or processing time.

21. Cancellation and Suspension

Cancellation conditions will be governed by the approved quotation or signed contract.

Where no project-specific condition has been agreed:

  • The client must notify DARCHEX of cancellation in writing;
  • Amounts corresponding to completed work remain payable;
  • Approved third-party costs remain payable;
  • Non-refundable purchases and commitments remain payable;
  • Deposits already allocated to work may be non-refundable;
  • Work will stop only after the cancellation instruction is received and acknowledged.

DARCHEX may suspend or terminate services where:

  • Payments remain overdue;
  • The client repeatedly fails to provide instructions;
  • Site access is denied;
  • Unlawful or unsafe work is requested;
  • The client materially breaches the agreement;
  • Continuing the project would create a professional, legal or safety risk.

22. Intellectual Property

Unless otherwise agreed, DARCHEX retains ownership of its intellectual property, including:

  • Concepts;
  • Sketches;
  • Plans;
  • Drawings;
  • Three-dimensional models;
  • Renderings;
  • Mood boards;
  • Details;
  • Presentations;
  • Specifications;
  • Templates;
  • Methods and original design content.

Following full payment, the client receives a limited right to use the final approved deliverables for the specific project and property for which they were created.

The client may not, without written permission:

  • Resell the design;
  • Reuse it for another property;
  • Modify and commercially distribute it;
  • Claim authorship;
  • Provide editable source files to another party for unrelated use;
  • Remove DARCHEX’s identification from protected documents;
  • Use rejected or unpaid concepts.

Editable source files are not included unless expressly stated in the quotation.

23. Portfolio and Project Publication

Unless confidentiality has been agreed in writing, DARCHEX may photograph or document its work for:

  • Internal records;
  • Professional portfolios;
  • Award submissions;
  • Website publication;
  • Social-media publication;
  • Presentations;
  • Marketing materials.

DARCHEX will seek to avoid publishing confidential personal information, sensitive documents or precise security details.

The client should notify DARCHEX in writing before project commencement if the project must remain confidential.

Where identifiable individuals appear in photographs or videos, any required permissions should be obtained before publication.

24. Website Intellectual Property

The website and its content, including text, graphics, logos, photographs, renderings, plans, videos and design elements, are owned by DARCHEX or used with permission.

Visitors may view the website for personal and legitimate business purposes.

Without written permission, visitors may not:

  • Copy substantial website content;
  • Reproduce project images;
  • Use DARCHEX designs for another project;
  • Remove copyright notices;
  • Republish content commercially;
  • Scrape or systematically extract website information;
  • Present DARCHEX work as their own.

25. Acceptable Website Use

Visitors must not use the website to:

  • Conduct unlawful or fraudulent activity;
  • Introduce viruses or malicious code;
  • Attempt unauthorised access;
  • Interfere with the website’s operation;
  • Collect information about other users;
  • Impersonate another person;
  • Submit misleading or false information;
  • Violate intellectual-property or privacy rights.

DARCHEX may restrict access where misuse is detected.

26. Third-Party Links

The website may contain links to social-media platforms, suppliers, manufacturers, portfolio platforms, maps or other third-party websites.

These links are provided for convenience. DARCHEX does not control and is not responsible for the content, availability, security or practices of third-party websites.

Access to third-party services is subject to their own terms and privacy policies.

27. Confidentiality

DARCHEX will take reasonable steps to protect confidential client and project information.

The client must also protect confidential DARCHEX information, including:

  • Unpublished designs;
  • Pricing methods;
  • Internal processes;
  • Editable files;
  • Commercial proposals;
  • Access credentials;
  • Proprietary templates.

Confidentiality obligations do not apply to information that:

  • Is already publicly available;
  • Was lawfully known before disclosure;
  • Is received lawfully from another source;
  • Must be disclosed by law or authority order.

28. Limitation of Liability

To the extent permitted by applicable law, DARCHEX shall be responsible only for direct damage proven to have resulted from a breach of its agreed professional obligations.

DARCHEX shall not be responsible for losses caused by:

  • Inaccurate client information;
  • Third-party work or products;
  • Unauthorised changes to DARCHEX documents;
  • Execution from preliminary or unapproved documents;
  • Failure to verify site dimensions;
  • Hidden site conditions;
  • Normal material variation;
  • Supplier discontinuation;
  • Force-majeure events;
  • Use of deliverables for another project;
  • Failure to follow DARCHEX’s written recommendations.

Nothing in these Terms excludes a responsibility that cannot legally be excluded or restricted.

29. Force Majeure

Neither party shall be considered in breach for failure or delay caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • Fire or flooding;
  • War or civil disturbance;
  • Government restrictions;
  • Epidemics or public-health emergencies;
  • Transport interruption;
  • Utility failure;
  • Cyber incidents;
  • Labour disruption;
  • Serious supply-chain disruption.

The affected party should inform the other party and take reasonable steps to reduce the impact.

30. Complaints

A client wishing to submit a complaint should contact:

The complaint should include:

  • The client’s name;
  • The project reference;
  • A clear explanation of the issue;
  • Relevant documents or photographs;
  • The requested resolution.

DARCHEX will review the complaint and seek an appropriate solution within a reasonable period.

31. Privacy and Personal Information

Use of personal information is governed by the DARCHEX Privacy Policy.

The Privacy Policy explains how DARCHEX collects, uses, stores and protects information submitted through the website and other communication channels.

32. Amendments to These Terms

DARCHEX may update these Terms when its services, technologies, procedures or legal obligations change.

The latest version will be published on this page with the updated revision date.

Changes will not retrospectively modify an existing signed contract unless the parties agree otherwise in writing.

33. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to apply.

The invalid provision will be interpreted or adjusted only to the extent necessary to make it lawful and enforceable.

34. No Waiver

A delay or failure by DARCHEX to exercise a contractual right does not mean that the right has been waived.

Any waiver must be clear and confirmed in writing.

35. Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Morocco.

The parties should first attempt to resolve disputes amicably through written communication and good-faith negotiation.

Where no amicable resolution is reached, the dispute will be submitted to the competent Moroccan courts, subject to any mandatory consumer-protection or jurisdiction rules that apply.
